- Third-Party Materials – External content or tools owned by others and incorporated where applicable.
Performance of Services
Services are delivered according to the timeline and milestones described in the Agreement. We apply professional expertise and commercially reasonable efforts in carrying out our responsibilities. Progress may depend on timely cooperation from the client.
Proposals and Engagement Scope
Proposals are valid for 30 calendar days unless otherwise stated. If not accepted within that period, we may adjust pricing, scope, or terms before resubmission.
The Project scope is limited to what is expressly agreed. Any additional work requires written approval.
Fees and Financial Terms
Unless clearly included in the Agreement:
- External or third-party expenses are invoiced separately.
- Approved out-of-pocket expenses may be charged at cost.
- The client is responsible for any applicable taxes associated with the Services.
Payment Conditions
Invoices must be paid within five (5) days of issue unless an alternative arrangement is documented. Payments may follow milestone-based schedules defined in the Agreement.
Modifications to Scope
All change requests must be made in writing.
Minor refinements that do not significantly alter cost or schedule may be addressed without formal contract amendments. Substantial adjustments affecting budget, scope, or deadlines require a supplemental or revised Agreement.
Any revised proposal should be accepted within fourteen (14) working days unless otherwise agreed.
Delays and Time Adjustments
If delivery is delayed due to incomplete materials, approvals, or feedback from the client, project timelines will be extended proportionally.
Should delays occur on our side, we will communicate promptly and take reasonable steps to resolve the issue.
Events beyond reasonable control, including unforeseen disruptions or force majeure circumstances, will not be considered a contractual breach and may extend deadlines accordingly.
Review and Approval Process
Deliverables undergo internal quality checks prior to submission.
Upon receipt, the client has seven (7) working days to review and provide written feedback. Revisions within scope will be completed within a reasonable timeframe.
If no response is received during the review period, Deliverables may be deemed accepted.
Client Duties
The client agrees to:
- Provide accurate and lawful content
- Ensure materials do not infringe third-party rights
- Deliver materials in workable formats
- Provide timely approvals and decisions
Unless agreed otherwise, final verification and proofreading are the client’s responsibility.
Attribution and Work Display
Unless otherwise agreed in writing, techsupportteams.com may reference completed work for portfolio or informational purposes. Attribution will remain factual and reasonable.
Confidential Information
Both parties commit to protecting confidential information shared during the engagement.
This obligation does not apply to information already public, independently obtained, or required to be disclosed by legal authority.
Nature of the Relationship
techsupportteams.com operates as an independent contractor. These Terms do not establish a partnership, employment relationship, joint venture, or exclusivity unless expressly stated in writing.
Subcontractors may be engaged where appropriate, while responsibility for service delivery remains with us.
Limitation of Liability
To the extent permitted under applicable law, Services are provided without guarantees beyond those expressly stated in the Agreement. Liability for any claim is limited to the amount paid for the specific Services related to that claim.
Ownership and Usage Rights
After full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
All Company Tools and underlying methodologies remain the property of techsupportteams.com unless explicitly transferred in writing. Unauthorized redistribution or modification outside agreed terms is not permitted.
Support and Maintenance
Support services are provided only where expressly agreed. Additional support may incur separate charges. Any warranty may be void if Deliverables are altered by unauthorized third parties.
Amendments to These Terms
We may revise these Terms periodically. The version published on techsupportteams.com at the time of use will apply. Continued use of the website or Services indicates acceptance of any updates.
